These Terms of Use ("Terms") govern your access to and use of our website at simplyelevatedai.com, our AI receptionist services, and any related products, tools, or platforms provided by Simply Elevated AI ("Company," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.

1. Services Overview

Simply Elevated AI provides AI-powered receptionist and client experience solutions designed to answer incoming calls, respond to inquiries, and facilitate appointment booking on behalf of businesses ("Clients"). Our services include, but are not limited to, automated call handling, real-time calendar integration, lead qualification, and client communication tools.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements.

3. Account Registration

Certain features of our services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

• Use the services for any fraudulent, deceptive, or unlawful purpose.
• Interfere with or disrupt the integrity or performance of the services.
• Attempt to gain unauthorized access to any part of the services or related systems.
• Transmit any viruses, malware, or other harmful code.
• Reproduce, duplicate, sell, or exploit any portion of the services without express written permission.

5. Intellectual Property

All content, features, functionality, trademarks, logos, and intellectual property associated with our services are owned by Simply Elevated AI or its licensors. You may not copy, modify, distribute, sell, or create derivative works based on any part of our services without prior written consent.

6. AI-Generated Interactions

Our services utilize artificial intelligence to handle calls, respond to inquiries, and facilitate bookings. While we strive for accuracy and professionalism, AI-generated responses may occasionally contain errors or inaccuracies. Simply Elevated AI does not guarantee the accuracy, completeness, or reliability of any AI-generated interaction. You acknowledge that AI responses are not a substitute for professional advice in legal, medical, financial, or other specialized fields.

7. Third-Party Integrations

Our services may integrate with third-party platforms such as Google Calendar, Calendly, HubSpot, and others. Your use of these integrations is subject to the respective third-party terms of service and privacy policies. Simply Elevated AI is not responsible for the availability, accuracy, or functionality of third-party services.

8. Payment and Billing

If you subscribe to a paid plan, you agree to pay all applicable fees as described at the time of purchase. Fees are non-refundable except as required by applicable law or as otherwise specified in a separate agreement. We reserve the right to modify pricing with reasonable advance notice.

9. Termination

We may suspend or terminate your access to our services at any time, with or without cause, and with or without notice. Upon termination, your right to use the services will cease immediately. Sections of these Terms that by their nature should survive termination shall remain in effect.

10. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SIMPLY ELEVATED AI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Simply Elevated AI and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising out of or related to your use of the services, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the competent courts at the registered seat of Simply Elevated AI in Switzerland. Notwithstanding the foregoing, Simply Elevated AI reserves the right to bring proceedings in any other court of competent jurisdiction where necessary to protect its intellectual property rights or to seek injunctive relief.

If you are a consumer residing in the European Union or the European Economic Area, you may also be entitled to invoke the mandatory consumer protection provisions of the law of your country of residence, and you may bring legal proceedings in the courts of that country.

14. Modifications

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on simplyelevatedai.com with a revised effective date. Your continued use of the services after such changes constitutes your acceptance of the modified Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be replaced by a valid and enforceable provision that most closely achieves the intent of the original provision.
